Bernstein Liebhard LLP is investigating whether the Board of Directors of Associated Estates Realty Corporation (“Associated Estates” or the “Company”) (NYSE, NASDAQ: AEC) breached its fiduciary duty to its shareholders in agreeing to sell Associated Estates to a real estate fund managed by Brookfield Asset Management.

Under the terms of the agreement, Associated Estates shareholders will receive $28.75 in cash for each share they own.  The investigation is focused on the potential unfairness of the price to Associated Estates shareholders and the process by which the Associated Estates Board of Directors considered and approved the transaction.
