Bernstein Liebhard LLP is investigating whether the Board of Directors of Dole Food Company, Inc. (“Dole” or the “Company”) (NYSE: DOLE) is breaching its fiduciary duty to its shareholders in connection with a proposal by David H. Murdock (“Mr. Murdock”), the Company’s Chairman and Chief Executive Officer, to take the Company private.

Under the terms of the proposal, Dole shareholders will receive $12.00 in cash for each share of common stock they own.  The investigation is focused on whether Mr. Murdock’s proposal undervalues the Company’s shares.
