Bernstein Liebhard LLP is investigating whether the Board of Directors of Keynote Systems, Inc. (“Keynote” or the “Company”) (NASDAQ: KEYN) breached its fiduciary duty to its shareholders in agreeing to sell Keynote to an affiliate Thoma Bravo, LLC.

Under the terms of the agreement, Keynote shareholders will receive $20.00 in cash for each share they own.  The investigation is focused on the potential unfairness of the price to Keynote shareholders and the process by which the Keynote Board of Directors considered and approved the transaction.
