Bernstein Liebhard LLP Announces Investigation of Radiant Systems, Inc.
July 12, 2011
Bernstein Liebhard LLP is investigating whether the Board of Directors of Radiant Systems, Inc. (“Radiant Systems” or the “Company”) (NASDAQ: RADS) breached its fiduciary duty to its shareholders in agreeing to sell Radiant Systems to NCR Corporation.
Under the terms of the agreement, Radiant Systems shareholders will receive $28.00 in cash for each share they own. The investigation is focused on the potential unfairness of the price to Radiant Systems shareholders and the process by which the Radiant Systems Board of Directors considered and approved the transaction.
