Bernstein Liebhard LLP is investigating whether the Board of Directors of Saba Software, Inc. (“Saba” or the “Company”) (OTC PINK: SABA) breached its fiduciary duty to its shareholders in agreeing to sell Saba to affiliates of Vector Capital.

Under the terms of the agreement, Saba shareholders will receive $9.00 in cash for each share they own.  The investigation is focused on the potential unfairness of the price to Saba shareholders and the process by which the Saba Board of Directors considered and approved the transaction.
