Susser Holdings Corporation Shareholder Alert: Bernstein Liebhard LLP Announces Investigation of Acquisition by Energy Transfer Partners, L.P.

Bernstein Liebhard LLP is investigating whether the Board of Directors of Susser Holdings Corporation (“Susser Holdings” or the “Company”) (NYSE: SUSS) breached its fiduciary duty to its shareholders in agreeing to sell Susser Holdings to Energy Transfer Partners, L.P. (NYSE: ETP).
Under the terms of the agreement, Susser Holdings shareholders will have the option to elect to receive either $80.25 in cash or 1.4506 ETP common units, or a combination of both for each share they own. The investigation is focused on the potential unfairness of the price to Susser Holdings shareholders and the process by which the Susser Holdings Board of Directors considered and approved the transaction.
