Bernstein Liebhard LLP is investigating whether the Board of Directors of CEC Entertainment, Inc. (“CEC” or the “Company”) (NYSE: CEC) breached its fiduciary duty to its shareholders in agreeing to sell CEC to an Affiliate of Apollo Global Management, LLC (NYSE: APO).
Under the terms of the agreement, CEC shareholders will receive $54.00 in cash for each share they own. The investigation is focused on the potential unfairness of the price to CEC shareholders and the process by which the CEC Board of Directors considered and approved the transaction.
