Bernstein Liebhard LLP is investigating whether the Board of Directors of Cymer, Inc. (“Cymer” or the “Company”) (NASDAQ: CYMI) breached its fiduciary duty to its shareholders in agreeing to sell Cymer to ASML Holding NV (NASDAQ: ASML).
Under the terms of the agreement, Cymer shareholders will receive $20.00 in cash and a fixed ratio of 1.1502 ASML ordinary shares for each share they own. The investigation is focused on the potential unfairness of the price to Cymer shareholders and the process by which the Cymer Board of Directors considered and approved the transaction.
