Bernstein Liebhard LLP is investigating whether the Board of Directors of International Rectifier Corporation (“International Rectifier” or the “Company”) (NYSE: IRF) breached its fiduciary duty to its shareholders in agreeing to sell International Rectifier to Infineon Technologies AG.

Under the terms of the agreement, International Rectifier shareholders will receive $40.00 in cash for each share they own.  The investigation is focused on the potential unfairness of the price to International Rectifier shareholders and the process by which the International Rectifier Board of Directors considered and approved the transaction.
