Bernstein Liebhard LLP is investigating whether the Board of Directors of Kenneth Cole Productions, Inc. (“Kenneth Cole” or the “Company”) (NYSE: KCP) is breaching its fiduciary duty to its shareholders in connection with an offer by Kenneth D. Cole (“Mr. Cole”), the Company’s Chairman and Chief Creative Officer, to take the Company private.

Under the terms of the offer, Kenneth Cole (KCP) shareholders will receive $15.00 in cash for each share of common stock they own. Mr. Cole currently owns approximately 47% of the Company’s common stock (representing approximately 89% of the voting power). The investigation is focused on whether Mr. Cole’s offer undervalues the Company shares.
