Bernstein Liebhard LLP is investigating whether the Board of Directors of Ralcorp Holdings, Inc. (“Ralcorp” or the “Company”) (NYSE: RAH) breached its fiduciary duty to its shareholders in agreeing to sell Ralcorp to ConAgra Foods, Inc. (NYSE: CAG).
Under the terms of the agreement, Ralcorp shareholders will receive $90.00 in cash for each share they own. The investigation is focused on the potential unfairness of the price to Ralcorp shareholders and the process by which the Ralcorp Board of Directors considered and approved the transaction.
