Bernstein Liebhard LLP is investigating whether the Board of Directors of TNS, Inc. (“TNS” or the “Company”) (NYSE: TNS) breached its fiduciary duty to its shareholders in agreeing to sell TNS to an investor group led by Siris Capital Group.

Under the terms of the agreement, TNS shareholders will receive $21.00 in cash for each share they own.  The investigation is focused on the potential unfairness of the price to TNS shareholders and the process by which the TNS Board of Directors considered and approved the transaction.
